Terms of Service

1. Acceptance of Terms

By accessing or using the LocAI Platform, API services, desktop applications (LocAI Studio), LocAI Code CLI, and any related services (collectively, the "Services") provided by LOCAI TECHNOLOGY PTY LTD ("LocAI," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

LocAI provides a dual-protocol AI API platform that supports both OpenAI-compatible and Anthropic-compatible endpoints. Our Services include API access to large language models, a web dashboard for account management, desktop applications, and command-line tools. Features and available models are subject to change. We reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach. LocAI will not be liable for any loss or damage arising from your failure to comply with these obligations.

4. API Key Security

API keys provide full access to your account's prepaid credit balance and usage. You must keep your API keys secure and confidential. Do not share them, commit them to version control, or expose them in client-side code. You may rotate or revoke API keys at any time via the Dashboard. LocAI is not responsible for unauthorized use of your API keys.

5. Acceptable Use

You agree not to use the Services for:

• Generating content that is illegal, harmful, harassing, defamatory, or otherwise objectionable
• Developing or deploying malware, spam, phishing, or other malicious activities
• Violating the intellectual property rights of others
• Attempting to reverse engineer, decompile, or extract model weights or architecture details
• Automated scraping or excessive requests that impair service availability for other users
• Any activity that violates applicable laws or regulations in Australia or your jurisdiction

We reserve the right to suspend or terminate accounts that violate these acceptable use terms, without prior notice and without refund.

6. Payment Terms

Our Services operate on a prepaid credit system. You purchase credits in advance, and usage is deducted from your balance based on the number of tokens processed at the rates published on our Pricing page. All prices are listed in Australian Dollars (AUD) and are inclusive of GST where applicable.

Credits do not expire while your account remains active. Prepaid credits are non-refundable except where required by Australian Consumer Law. We reserve the right to adjust pricing with 30 days' notice. Rate limits apply per API key and may vary by account tier.

7. Intellectual Property

Your Content: You retain all ownership rights to the content you submit through our Services (prompts) and the content generated by our models in response (completions). We claim no ownership over your inputs or outputs. We do not use your content to train or improve our models.

Our IP: LocAI retains all rights, title, and interest in and to the Services, including our software, models, APIs, documentation, branding, and all related intellectual property. These Terms do not grant you any license to our intellectual property except as necessary to use the Services.

8. Service Availability

We target 99.99% availability for our production API endpoints. While we strive for continuous operation, we do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance via our status page and email notifications. We are not liable for downtime caused by factors outside our reasonable control, including internet infrastructure failures, DDoS attacks, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, LocAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from your use of the Services. Our total liability for any claim arising from these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim.

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AI-generated outputs may be inaccurate or incomplete; you are responsible for verifying outputs before relying on them.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

11. Termination

You may terminate your account at any time by contacting us. Upon termination, your right to use the Services will cease immediately. Any remaining prepaid credits will be refunded on a pro-rata basis, minus any applicable processing fees, where required by Australian Consumer Law. We may suspend or terminate your account for breach of these Terms, with or without notice. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users and posted on our website at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Services before the changes take effect.
